Terms governing the installation and use of VRViewer, including VRViewer Pro licenses.

Effective Date: October 21, 2026

VRViewer End User License Agreement

Effective Date: October 21, 2026

Licensor: LTM Technologies, a sole proprietorship operated by Gerald Lee Kendall, Jr. (“Licensor,” “we,” or “us”).

Product: VRViewer, including its associated Windows application, OpenXR API layer, and accompanying documentation (collectively, the “Software”).

1. Agreement to These Terms

This End User License Agreement (“Agreement”) is a legal agreement between you (“you” or “Licensee”) and LTM Technologies, a sole proprietorship operated by Gerald Lee Kendall, Jr. (“Licensor,” “we,” or “us”).

By installing, activating, accessing, or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software. The installer may ask you to affirmatively accept this Agreement before installation proceeds.

If you accept this Agreement on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. License Grant and Duration

Subject to this Agreement and applicable purchase terms, Licensor grants you a limited, non-exclusive, non-transferable license to install and use the Software for its intended purpose.

The Software is licensed, not sold. A one-time purchase of VRViewer Pro grants a perpetual license to use VRViewer Pro and future versions and updates that Licensor releases as part of VRViewer Pro, without an additional upgrade fee. This is a license to use released versions; it does not promise that Licensor will develop or release updates, features, or new versions on any particular schedule or for any particular period.

A single license permits up to two simultaneously activated devices, subject to Section 4.

You may not transfer or resell your license except where expressly permitted by Licensor or required by applicable law.

3. Ownership and Third-Party Software

Licensor retains ownership of the original proprietary portions of the Software and associated intellectual property rights owned by Licensor.

The Software also incorporates or distributes third-party software governed by separate license terms. Those components remain subject to their respective licenses, including applicable open-source licenses. This Agreement does not revoke, narrow, or override rights granted under those licenses.

Third-party copyright and license information is provided in the accompanying THIRD_PARTY_NOTICES.txt file.

Nothing in this Agreement claims ownership of third-party code or restricts rights granted by an applicable third-party license.

4. License Activation and Offline Use

4.1 Device activation limit

During normal commercial operation, a license may have up to two simultaneously activated devices. An activation request may be refused when both activation slots are occupied.

4.2 Deactivation

Where supported, you may deactivate a device to release its activation slot for another device. You are responsible for deactivating devices you no longer use when you need to free an activation slot.

If a device is lost, damaged, or unavailable for deactivation, contact support for assistance.

4.3 Online validation

The Software may communicate with an online licensing service to activate, validate, or deactivate your license.

During normal commercial operation, you must have a valid license to use features that require license validation. Licensor may refuse or revoke authorization when a license is invalid, refunded, revoked, or otherwise ineligible under the applicable purchase terms.

4.4 Offline grace period and service availability

After a successful online validation, the Software may permit offline use based on cached license-validation information for up to 30 days. After that period, the Software may require an internet connection and successful online validation to restore access to license-restricted features.

Licensor does not guarantee uninterrupted availability of the licensing service. If validation fails because of a temporary service outage or another problem, contact support@ltmtechnologies.com for assistance.

If Licensor permanently discontinues VRViewer as described in Section 6, the discontinuation commitment in that section is intended to provide a way to use the final release without ongoing online license validation. The 30-day offline grace period is not intended to be the sole means of continued use after permanent discontinuation.

5. Restrictions

Except where expressly permitted by this Agreement, an applicable third-party license, or applicable law, you may not:

  1. Copy, modify, adapt, or create derivative works of proprietary portions of the Software.
  2. Distribute, publish, sublicense, rent, lease, or resell the Software or your license.
  3. Remove or alter applicable copyright, ownership, or proprietary notices.
  4. Circumvent license activation, device limits, validation mechanisms, or other technical restrictions during normal commercial operation.
  5. Use the Software unlawfully or in a manner that infringes another party’s rights.
  6. Reverse engineer, decompile, or disassemble proprietary portions of the Software, except to the extent permitted or protected by applicable law.

These restrictions do not limit rights granted by applicable third-party licenses, including open-source licenses. They also do not restrict rights granted under a separate open-source license that Licensor may apply to a discontinued release under Section 6.

6. Lifetime License and Product Discontinuation

6.1 Continued use and future versions

The perpetual license described in Section 2 permits use of all versions and updates that Licensor releases as part of VRViewer Pro, without an additional upgrade fee. It does not guarantee ongoing development, technical support, compatibility with all future hardware or operating systems, or continued operation of third-party services.

6.2 Discontinuation commitment

If Licensor permanently discontinues active development and support of VRViewer, Licensor commits to making a final version of VRViewer available that unlocks all VRViewer Pro features and does not require an active online license-validation service or ongoing connection to Licensor or its payment provider.

Licensor also commits to releasing the VRViewer source code under an appropriate open-source license, subject to applicable third-party license obligations, intellectual-property rights, security considerations, and other legal restrictions. Any third-party components remain governed by their own license terms.

Licensor intends these steps to preserve access to VRViewer if the website, licensing service, or payment provider is no longer available. The final release and source code will be made available through a public repository or another reasonably accessible distribution location. Licensor cannot guarantee that any particular third-party hosting service will remain available indefinitely.

6.3 Scope of the commitment

This commitment concerns access to a final usable release and source code. It does not promise future maintenance by Licensor or community members, continued technical support, compatibility with future systems, or continued availability of external services. Nothing in this section reduces a perpetual license already granted to a purchaser.

7. Updates and Support

Licensor may provide updates, fixes, improvements, or new versions of the Software. A purchased VRViewer Pro license covers future versions and updates that Licensor releases as part of VRViewer Pro, as described in Section 2, without an additional upgrade fee. Licensor does not guarantee that any particular update, feature, new version, maintenance, or technical support will be developed or provided on a particular schedule.

For assistance, contact support@ltmtechnologies.com.

8. Privacy and Licensing Data

The Software may process information needed to activate, validate, and manage your license, potentially including license identifiers and device or activation identifiers.

Licensing operations may involve external service providers. The handling of personal information is described in the applicable Privacy Policy:

https://www.ltmtechnologies.com/privacy.html

This Agreement does not replace the Privacy Policy or any privacy notice required by law.

9. Purchases and Refunds

Purchases and refund requests are subject to the refund policy published at https://www.ltmtechnologies.com/refunds.html, the applicable purchase terms and payment-provider procedures, and applicable law.

Nothing in this Agreement removes any refund, cancellation, warranty, or other consumer right that cannot lawfully be excluded.

10. Termination

This Agreement remains in effect while you exercise rights granted under it, unless terminated in accordance with this section.

If you materially breach this Agreement, Licensor may terminate your license where permitted by law. Where required, Licensor will provide notice and an opportunity to remedy the breach.

Upon termination, you must stop using the Software and uninstall and delete copies in your possession, except where retention is required or permitted by law. This requirement does not override rights you hold under an applicable third-party or open-source license, including a license applied to a discontinued release under Section 6.

Termination does not revoke or alter rights you independently hold under applicable third-party software licenses.

11. Warranty Disclaimer

To the maximum extent permitted by applicable law, the Software is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express, implied, or statutory.

Licensor disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the extent permitted by law.

Licensor does not warrant that the Software will be uninterrupted, error-free, compatible with every application or hardware configuration, or continuously available through online services.

This section does not exclude any warranty or consumer right that cannot lawfully be excluded.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Licensor will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities arising from or related to the Software or this Agreement.

To the maximum extent permitted by applicable law, Licensor’s total aggregate liability arising from or related to the Software or this Agreement will not exceed the amount you paid for the Software during the 12 months preceding the event giving rise to the claim.

These limitations do not apply to liability that cannot lawfully be excluded or limited.

You are responsible for complying with applicable laws when downloading, installing, accessing, and using the Software. You may not use or distribute the Software in violation of applicable export-control or sanctions laws.

14. Changes to This Agreement

Licensor may publish revised versions of this Agreement for future releases or continued services. Changes affecting existing licenses will be handled as required by applicable law and the applicable purchase terms. No revision is intended to retroactively withdraw a perpetual license or other rights already granted, except as permitted by applicable law and this Agreement.

A revision does not automatically remove rights granted to you under a third-party license.

15. Governing Law

This Agreement is governed by the laws of the Commonwealth of Kentucky, United States, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any dispute arising from this Agreement will be handled by a court or dispute-resolution process with appropriate jurisdiction, subject to mandatory consumer-protection laws.

16. General Provisions

If any provision of this Agreement is held unenforceable, the remaining provisions will remain effective to the extent permitted by law.

A failure to enforce a provision is not a waiver of the right to enforce it later.

This Agreement, together with the applicable purchase terms, refund policy, and incorporated policies, governs your use of the Software, except where a separate written agreement applies.
